Terms of Service

1. Acceptance & Scope

By accessing or using the Site, you accept these Terms in full. If you do not accept any part of these Terms, you must not use the Site.

The Site is intended for use by B2B medical professionals — clinics, hospitals, aesthetic studios, medical-device distributors, and academic researchers. The Site is not intended for consumers seeking direct medical advice or treatment.

2. Definitions

1. "Site" — cellogram.co.kr and clearmed.co.kr.
2. "User", "you" — any natural or legal person accessing the Site.
3. "Service" — the information, materials, FAQs, inquiry-form intake and related communications provided through the Site.
4. "Content" — all text, images, video, shaders, designs, logos, trademarks and other material published on the Site.

3. Changes to the Terms

We may amend these Terms from time to time. Material amendments will be announced on the Site at least 30 days before they take effect (or 7 days for non-material changes). If you continue using the Site after the effective date of a change, you are deemed to have accepted the amended Terms. If you do not accept them, you should stop using the Site.

4. Description of the Service

The Site provides the following at no cost:

1. Information about the Company and its products (CELLOGRAM ECM Booster and related items)
2. Clinical data, scientific rationale, and academic references
3. An Inquiry Form for B2B medical professionals to request information
4. Frequently asked questions
5. Brand, design-system and policy documentation

The Site does not provide direct sales, online ordering, payment processing, or appointment booking. All product transactions are conducted via separate B2B contracts or purchase orders.

5. Permitted Use

1. The Site can be browsed and the Inquiry Form submitted without registration.
2. We aim to make the Site available 24/7 but cannot guarantee uninterrupted access; maintenance, upgrades, force majeure, or third-party outages may cause temporary downtime.
3. You are responsible for the device, connection and software you use to access the Site.

6. Medical & Scientific Information — Important Notice

1. All clinical content is for academic reference. Individual patient diagnosis and treatment decisions remain the sole responsibility of qualified medical professionals.
2. While we strive for accuracy, scientific knowledge and regulatory frameworks evolve. We accept no liability for damages arising from reliance on Site content that has been superseded by new evidence or regulatory changes.
3. Before applying any information from the Site to patient care, users must independently verify product labelling, regulatory notices (MFDS, EMA, FDA, etc.) and applicable clinical guidelines.

7. User Obligations

You agree not to:

1. Submit false information or impersonate another person or entity;
2. Copy, reproduce, distribute, transmit, display, publicly perform or create derivative works of Site Content without our prior written consent;
3. Disrupt the Site's normal operation (e.g. excessive automated requests, malicious scraping, DDoS, vulnerability probing);
4. Defame the Company or third parties or infringe their rights;
5. Use the Site in breach of applicable law or these Terms.

8. Intellectual Property

1. All Content on the Site — text, images, video, shaders, designs, logos, trademarks — is owned by the Company or its licensors and is protected by copyright, trademark, and other intellectual property laws.
2. CELLOGRAM, CLEARMED, Collagen Architecture, ECM Prime, Your Record, and related marks are registered or pending trademarks of the Company. Use without our prior written consent may infringe applicable trademark and unfair-competition law.
3. You may not use Site Content for commercial purposes without our prior written consent.
4. Academic citation or non-commercial use is permitted on condition that the source (Site URL and date) is clearly cited.

9. Disclaimers & Limitation of Liability

1. The Site is provided on an "as is" and "as available" basis. To the maximum extent permitted by applicable law, we exclude all warranties, express or implied, including fitness for a particular purpose and non-infringement.
2. We are not liable for failure or delay caused by events beyond our reasonable control (force majeure, war, terrorism, civil disorder, power outage, network failure, cyber-attack).
3. We are not liable for damages caused by your own actions (incorrect data entry, careless access management).
4. We do not warrant the accuracy or completeness of third-party content (academic articles, regulatory notices) cited on the Site; you remain responsible for verifying primary sources (PMID, DOI, etc.).
5. We are not liable for the availability or content of external linked sites.
6. Nothing in these Terms limits or excludes liability that cannot be excluded under applicable law, including liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be lawfully excluded under the consumer-protection laws of your jurisdiction.

10. Privacy

We process personal data in accordance with our Privacy Notice, which forms an integral part of these Terms. In the event of conflict between these Terms and the Privacy Notice regarding personal data processing, the Privacy Notice prevails.

11. Termination

We may suspend or terminate your access to the Site at any time, with or without notice, if we believe you have breached these Terms or applicable law. You may stop using the Site at any time. Provisions of these Terms that by their nature should survive termination (intellectual property, disclaimers, limitation of liability, governing law) shall so survive.

12. Governing Law & Jurisdiction

1. These Terms are governed by and construed under the laws of the Republic of Korea.
2. The parties shall first attempt to resolve any dispute amicably. Failing that, the exclusive court of first instance shall be the Seoul Central District Court in the Republic of Korea, subject to applicable mandatory consumer-protection laws of the user's place of habitual residence.
3. For EU/EEA consumers, this choice of jurisdiction does not deprive you of the protection afforded by mandatory provisions of the law of the EU Member State in which you have your habitual residence.

13. Miscellaneous

1. Severability — if any provision of these Terms is held unenforceable, the remaining provisions remain in full force.
2. No waiver — our failure to enforce any provision does not waive our right to do so later.
3. Entire agreement — these Terms (together with the Privacy Notice and any separate B2B contracts) constitute the entire agreement between you and the Company regarding the Site.

Effective Date
